The Trade Register
The Trade Register and Register of Non-Profit Legal Entities (maintained by the Registry Agency) is the central public database of all companies in Bulgaria. Any change to your company’s registered details must be filed with the Trade Register to become legally effective and visible to third parties.
Common Changes Requiring Registration
Change of Company Name
To change your company’s trade name:
- Pass a shareholders’ resolution (or sole owner’s decision for EOOD)
- Verify the new name is available in the Trade Register
- Amend the articles of association
- File with the Trade Register
Change of Registered Address
Moving your company’s seat or management address:
- Pass a resolution approving the new address
- Obtain a declaration of consent from the owner of the new premises
- Amend the articles of association
- File the change — no fee if within the same registration district
Change of Manager
Appointing a new manager or removing an existing one:
- Pass a shareholders’ resolution
- The new manager signs a consent and specimen signature declaration (notarized)
- The new manager provides a declaration of no disqualification
- File with the Trade Register
Change of Ownership (Share Transfer)
When company shares change hands:
- Execute a share transfer contract with notarized signatures
- Pass a shareholders’ resolution accepting the new owner
- Amend the articles of association
- File with the Trade Register
Capital Increase or Decrease
Changing the registered capital:
- Increase: resolution, new capital contribution, amended articles
- Decrease: resolution, creditor protection procedure (for significant decreases), amended articles
- File with the Trade Register
Change of Business Activity
Adding or modifying your company’s declared activities:
- Pass a resolution
- Amend the articles of association
- File with the Trade Register
The Filing Process
Step 1: Prepare Corporate Decisions
All changes start with the appropriate corporate decision:
- EOOD: decision of the sole owner
- OOD: minutes of the general meeting of shareholders
- AD: minutes of the general assembly or board decision
Step 2: Prepare Supporting Documents
Depending on the change, gather:
- Amended articles of association
- Notarized declarations and consents
- Proof of capital contribution (bank certificate)
- Property owner’s consent for address changes
- Share transfer contracts
Step 3: File the Application
Submit the application electronically through the Trade Register online portal or on paper at a Registry Agency office. The application must include:
- Standard application form (Form A4 for changes to existing companies)
- All supporting documents
- State fee payment receipt
- Power of attorney if filed by a lawyer
Step 4: Review and Registration
The Registry Agency reviews the application within 3 business days (for electronic filing) or 5 business days (for paper filing). If the application is incomplete, the agency issues instructions for correction with a deadline to comply.

Deadlines
Most changes must be filed within 7 days of the corporate decision. Late filing does not invalidate the change but may result in:

- The change being ineffective against third parties until registered
Annual Financial Statements
Companies must also file their annual financial statements with the Trade Register by September 30 each year. Failure to publish results in fines starting at BGN 200.
